Wholesale Terms & Conditions of Sale
 

Effective Date: 01/06/26
 

These Terms & Conditions govern all wholesale sales of roasted coffee, green (raw) coffee beans and associated products supplied by Coffee Connection UK ("we", "our", "us") to business customers ("you", "your").
 

By placing an order with Coffee Connection UK, you agree to be bound by these Terms & Conditions.
 

1. Business Sales

Coffee Connection UK supplies products on a business-to-business (B2B) basis only. These Terms & Conditions apply to all quotations, orders and contracts unless otherwise agreed in writing.
 

2. Quotations

All quotations are provided without obligation and remain valid for 14 calendar days, unless otherwise stated in writing.
 

Prices are subject to change after this period due to fluctuations in:

  • Green coffee market prices

  • Exchange rates

  • Freight and transport costs

  • Import duties and taxes

  • Supplier pricing

All prices are exclusive of VAT unless otherwise stated.
 

3. Purchase Orders

All wholesale orders must be submitted as an official Purchase Order (PO) issued by the purchasing business.

No order will be placed, processed, scheduled, reserved, roasted, packed or dispatched until Coffee Connection UK has received an official Purchase Order.

Telephone conversations, email correspondence, quotations, forecasts, estimated requirements or verbal agreements do not constitute an order.

Coffee Connection UK reserves the right to refuse or amend any Purchase Order prior to acceptance.
 

4. Order Acceptance

A binding contract is formed only when Coffee Connection UK has confirmed acceptance of your official Purchase Order in writing.

The official order date shall be the date on which Coffee Connection UK issues written confirmation.

All production schedules, stock allocation, roasting schedules and delivery lead times commence only from this confirmed order date.
 

5. Lead Times

Unless otherwise agreed in writing, Coffee Connection UK's standard lead time is:

7 working days from written order confirmation to delivery.

Lead times are estimates and may be affected by:

  • Green coffee availability

  • Shipping delays

  • Supplier shortages

  • Production capacity

  • Courier delays

  • Force majeure events

  • Circumstances beyond our reasonable control

Whilst every effort will be made to achieve estimated delivery dates, Coffee Connection UK shall not be liable for delays outside of its reasonable control.
 

6. Payment Terms

Unless otherwise agreed in writing, all invoices are payable strictly within fourteen (14) calendar days from the date of invoice.

Payment terms begin from the invoice date and are not extended by delivery dates, internal approval procedures or any other customer processes.

Failure to pay an invoice by its due date will place the account into arrears.

Coffee Connection UK reserves the right to:

  • Suspend production of current orders.

  • Delay or withhold dispatch of goods.

  • Suspend future order processing.

  • Withdraw agreed credit facilities.

  • Place all future orders on a Pro Forma payment basis.

  • Recover reasonable debt recovery costs.
     

7. Late Payment

Invoices remaining unpaid after the agreed payment due date will incur interest at a rate of 2.5% per calendar month on the outstanding balance.
 

Interest shall accrue daily from the day immediately following the invoice due date and may be added to the account monthly until payment is received in full.
 

Coffee Connection UK also reserves all statutory rights available under the Late Payment of Commercial Debts (Interest) Act 1998.
 

Any legal, collection or recovery costs incurred in recovering overdue monies may also be charged to the customer where permitted by law.
 

8. Direct Debit Payments

Customers are encouraged to pay by Direct Debit to ensure prompt payment and maintain uninterrupted credit facilities.
 

Coffee Connection UK may, at its sole discretion, offer preferential payment terms or other commercial benefits to customers who maintain an active Direct Debit mandate.
 

Where a customer cancels an active Direct Debit mandate without prior written agreement, Coffee Connection UK reserves the right to charge a £35.00 administration fee to cover the administrative costs associated with updating account payment arrangements and credit facilities.
 

Cancellation of a Direct Debit does not amend the agreed payment terms or release the customer from any payment obligations.
 

Coffee Connection UK reserves the right to withdraw any agreed credit facilities following cancellation of a Direct Debit mandate.
 

9. Product Availability

All products are supplied subject to availability.

Coffee Connection UK reserves the right to:

  • Substitute similar coffees where agreed.

  • Amend quotations.

  • Decline orders where stock is unavailable.
     

Specific origins, lots, grades or harvests cannot be guaranteed unless expressly reserved in writing.
 

10. Roasted Coffee

Roasted coffee is produced specifically against confirmed Purchase Orders.

Once roasting or production has commenced, orders cannot normally be cancelled or amended without Coffee Connection UK's written agreement.
 

Where cancellation is accepted, Coffee Connection UK reserves the right to recover all costs incurred, including:

  • Coffee purchased

  • Roasting

  • Packaging

  • Labour

  • Administration

  • Delivery costs
     

11. Green Coffee

Green coffee is supplied subject to warehouse stock availability.

Coffee Connection UK cannot guarantee future availability of individual lots or harvests unless specifically contracted.
 

12. Delivery

Delivery dates are estimates only.
 

Risk in the goods passes to the customer upon delivery to the agreed delivery address.

Customers must inspect all deliveries immediately.
 

Any shortages, damage or delivery discrepancies must be reported within 48 hours of delivery.
 

Failure to notify Coffee Connection UK within this period may affect the ability to investigate or resolve any claim.
 

13. Retention of Title

Legal ownership of all goods supplied shall remain with Coffee Connection UK until payment has been received in full for all outstanding invoices.
 

Until title passes, the customer shall store the goods separately and clearly identify them as the property of Coffee Connection UK.

14. Force Majeure

Coffee Connection UK shall not be liable for any delay or failure to perform its obligations where caused by events beyond its reasonable control, including but not limited to:

  • Crop shortages

  • Shipping disruption

  • Industrial action

  • Natural disasters

  • Government restrictions

  • Pandemics

  • Transport failures

  • Supplier failure

15. Limitation of Liability

Coffee Connection UK's liability shall be limited to replacement of defective goods or refund of the purchase price.
 

Coffee Connection UK shall not be liable for any indirect, consequential or financial losses, including loss of profit, business interruption or loss of goodwill.

16. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
 

Any dispute arising from these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
